Terms of service

The terms behind the work.

These are our standard terms. Where you've signed a separate agreement or statement of work with us, that document takes precedence over anything below.

Last updated 31 August 2026

1. Who you're contracting with

Services are provided by Ujjawal Technologies and Creations Pvt. Ltd., trading as NumbersMatters, of D-34-A-1, Saraswati Marg, Bani Park, Jaipur, Rajasthan 302016, India (“we”, “us”). “You” means the business engaging us.

2. How an engagement starts

We'll set out the team, the scope, the rate and the start date in a written proposal or statement of work. An engagement begins when you accept it in writing. Nothing on this website is an offer capable of acceptance; rates published here are indicative and confirmed in your proposal.

3. Our people

We assign named individuals to your account. If someone becomes unavailable we'll replace them with someone of equivalent capability and tell you in advance where we can. Our people remain our employees or contractors throughout; nothing in an engagement creates an employment relationship between them and you.

You agree not to solicit or directly employ anyone we've assigned to your account during the engagement and for six months afterwards, unless we agree in writing. If you want to hire someone, talk to us - we'd rather have that conversation than an argument.

4. Fees, invoicing and taxes

  • Retainers are invoiced monthly in advance. Projects are invoiced as set out in the statement of work.
  • Payment terms are 14 days from invoice date unless agreed otherwise.
  • Indian clients are invoiced in rupees with GST applied at the prevailing rate. Exports of services are invoiced in USD or GBP and zero-rated under our LUT.
  • Any withholding tax in your jurisdiction is your responsibility; we'll provide the documentation you need to claim relief.
  • We may charge interest on overdue amounts and suspend work if an invoice is more than 30 days late. We'll always warn you before we do.

5. Changing or ending an engagement

Retainers run month to month. Either side may end one on 30 days' written notice (60 days for Small teams). You pay for the notice period. If the scope changes materially, we'll agree a revised proposal in writing before the new work starts - we don't bill scope creep quietly.

6. What we need from you

We need timely access to the systems, data and people the work depends on, and decisions when we ask for them. If those are delayed, timelines move; we'll tell you when that's happening rather than letting a deadline pass quietly.

7. Ownership

All deliverables - code, dashboards, pipelines, documentation and automations built specifically for you - become yours on payment of the invoice covering them. We retain ownership of our own pre-existing tools, methods and know-how, and grant you a perpetual licence to use them as embedded in your deliverables. We do not reuse your data or your build for another client.

8. Confidentiality

Each side will keep the other's confidential information confidential and use it only for the engagement. This survives the end of the engagement. Our people sign confidentiality agreements before receiving any access.

9. Data protection

Where we process personal data on your behalf we act as your processor and will enter into a Data Processing Agreement. Our practices are described on our security and data handling page, which forms part of these terms.

10. Warranties and liability

We'll perform the services with reasonable skill and care, using suitably qualified people. Beyond that, and to the extent the law allows, we give no other warranties - in particular we don't warrant that any system will be uninterrupted or error-free.

Neither side is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. Our total liability arising out of an engagement is capped at the fees you paid us in the three months before the claim arose. Nothing here limits liability for fraud, or for anything that cannot lawfully be limited.

11. Publicity

We won't name you as a client, use your logo or publish anything about our work together without your written permission.

12. Governing law

These terms are governed by the laws of India, and the courts of Jaipur, Rajasthan have exclusive jurisdiction - unless your signed agreement with us says otherwise.
